Abstract: 我国《合同法》第 6 5条规定了第三人履行辅助制度 ,但短短一项法律条文还不能反映一个制度的全部。在司法实践中 ,对履行辅助人的理解还有偏差 ,经常将其与合同转让等概念相混淆。因此 ,有必要对履行辅助人的理解在构成条件、行为性质、行为人能力及特殊限制等几方面加以澄清
