法经济学视角下对赌协议的产生及可履行性分析

Abstract: 对赌协议的研究已经从合同有效性向合同可履行性进行了转变,从法经济学的视角下利用信息不对称理论、不完全契约理论、交易费用理论和估值调整机制理论分析对赌协议的产生,从而判定对赌条款的可履行标准应当由资本维持和清偿能力两个维度进行认定。
